  • Banca Finnat assists both investors and startups with its dedicated services, including registration services, also through its own Trustee. Finnat Fiduciaria, meets the needs of the client in the governance of personal and corporate assets, directly administering a wide range of fiduciary transactions: the appropriate insurance structures, the Trust, the Trust Entities and Corporate Structures, the Irrevocable Mandates, Family Agreements, Escrow Agreements, evaluating, case by case, the legal and fiscal implications in consideration of individual needs.
  • The trustee acts as the holder of the shares, facilitating the completion of the investment, even in the case of start-ups and club deals. The advantages are: the maintenance of the anonymity of the investors, the registration of the Trustee in the shareholders' register, avoiding crowding in the company's Cap Table, the creation of the basis for a secondary market of shares (transfer of shares for private of the Trustee), the possibility of managing a shareholders' agreement, which will be enforced by the Trustee, the simplicity for exercising the right to vote and in case of pre-emption with the appointment of a single representative, efficiency in the tax management of the withholding tax advance payment in the event of a profit by the company.
  • Banca Finnat's Advisory and Corporate Finance team assists start-up companies in the consolidation of their growth processes, assisting them in consulting activities aimed at finding financial resources (in different ways depending on the circumstances, such as stock market listings or research of industrial and / or financial partners) as well as extraordinary transactions (M&A, joint ventures, etc.).
